1. Agreement to Terms

Welcome to Wrespo.ai ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, products, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our Services.

2. Description of Services

Wrespo.ai provides AI-powered lead conversion and appointment booking services for service-based businesses. Our services include but are not limited to:

• AI phone answering and appointment booking systems
• Lead generation and management
• CRM integration and automation
• Marketing campaign management
• Custom AI agent training and development
• Analytics and reporting
• Ongoing optimization and support

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By using our Services, you represent and warrant that you meet these requirements.

4. Account Registration and Security

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, fraudulent, or violates these Terms.

5. Fees and Payment

5.1 Service Fees

Our Services are provided on a subscription basis with an initial setup fee. Pricing tiers include:

• Foundation Package: $3,500 setup + $697/month
• Complete System Package: $9,500 setup + $1,997/month
• Enterprise Growth Package: $15,000 setup + $3,997/month

Specific pricing and features will be outlined in your service agreement.

5.2 Payment Terms

All fees are payable in U.S. Dollars. You agree to:

• Pay setup fees upon signing the service agreement
• Pay monthly retainer fees in advance on the 1st of each month
• Provide valid payment information and authorize automatic billing
• Pay all applicable taxes in addition to the stated fees

5.3 Late Payment

Late payments may result in:

• Suspension of Services until payment is received
• Late fees of 1.5% per month on outstanding balances
• Termination of Services for non-payment exceeding 15 days

6. Refund and Cancellation Policy

6.1 Setup Fees

Setup fees are non-refundable as they cover custom development work, system integration, and initial setup that is performed specifically for your business.

6.2 Monthly Retainers

Monthly retainer fees are billed in advance and are non-refundable. If you cancel, you will retain access to Services through the end of your current billing period.

6.3 Cancellation

You may cancel your subscription at any time with 30 days written notice. Cancellation requests must be sent to hello@wrespo.ai. Upon cancellation:

• Services will continue through the end of your billing period
• You will retain access to data exports as outlined in your agreement
• No refunds will be issued for partial months or unused services
• Any outstanding balances must be paid in full

7. Service Level and Performance

While we strive to provide excellent service and results, we make no guarantees regarding specific outcomes such as:

• Specific revenue increases
• Number of leads generated
• Conversion rates or booking rates
• Return on investment (ROI)

Results vary based on factors including but not limited to: your industry, location, competition, pricing, service quality, and adherence to our recommendations.

We commit to using best practices and providing professional service, but ultimate business results depend on multiple factors beyond our control.

8. Your Responsibilities

As a client, you agree to:

• Provide accurate and complete business information
• Respond to client appointments and inquiries in a timely manner
• Maintain professional standards in customer interactions
• Provide access to necessary systems (CRM, calendars, etc.)
• Comply with all applicable laws and regulations
• Not use our Services for illegal or unauthorized purposes
• Not interfere with or disrupt our Services or servers
• Not attempt to reverse engineer any aspect of our Services

9. Intellectual Property Rights

9.1 Our Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and AI models, are owned by Wrespo.ai and are protected by copyright, trademark, and other intellectual property laws.

9.2 Your Content

You retain ownership of any content you provide to us. By using our Services, you grant us a license to use, modify, and process your content solely to provide Services to you.

9.3 Custom Development

Custom AI agents, scripts, and configurations developed specifically for your business remain our intellectual property, but you receive an exclusive license to use them during your subscription period.

10. Data and Privacy

Your use of our Services is also governed by our Privacy Policy, which can be found at wrespo.ai/privacy. By using our Services, you consent to our collection and use of your data as described in the Privacy Policy.

We implement reasonable security measures to protect your data, but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

11. Third-Party Services and Integrations

Our Services may integrate with third-party platforms (e.g., HubSpot, Google Ads, Meta Ads). Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for:

• Third-party service availability or performance
• Changes to third-party APIs or pricing
• Third-party service outages or errors
• Third-party data handling practices

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WRESPO.AI SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• SERVICE INTERRUPTIONS OR ERRORS
• UNAUTHORIZED ACCESS TO YOUR DATA
• ERRORS OR OMISSIONS IN CONTENT

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.

13. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS
• UNINTERRUPTED OR ERROR-FREE OPERATION

14. Indemnification

You agree to indemnify, defend, and hold harmless Wrespo.ai and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or business practices
• Your interactions with customers or leads

15. Termination

We reserve the right to suspend or terminate your access to our Services immediately, without prior notice, for:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Conduct harmful to our reputation or other users
• Any reason at our sole discretion

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at hello@wrespo.ai. We'll try to resolve the dispute informally by contacting you via email.

16.2 Binding Arbitration

If we cannot resolve the dispute within 30 days, any dispute shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration will be conducted in Minnesota, United States.

16.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending you an email notification (for significant changes)

Your continued use of our Services after changes take effect constitutes acceptance of the modified Terms.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any service agreement you sign, constitute the entire agreement between you and Wrespo.ai regarding the use of our Services and supersede all prior agreements.
